Terms of Service

1. Acceptance of Agreement
By downloading, installing, accessing, or using the KeyGenius application or website (collectively, the "Service"), you agree to be bound by these Terms of Service. This is a legally binding contract between you and KeyGenius ("we," "us," or "our"). If you do not agree to these terms, you are strictly prohibited from using the Service and must delete all copies of the software in your possession.
Note: These terms contain important language regarding the non-confidentiality of your data and your waiver of certain legal rights, including the right to a jury trial and arbitration.
2. Eligibility and User Accounts
You must be at least 13 years of age to use the Service. If you are under the age of 18 (or the age of majority in your jurisdiction), you must have your parent or legal guardian's permission to use the Service and they must agree to these Terms on your behalf.
When you create an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
3. Description of Service (Alpha Phase)
KeyGenius provides AI-powered computer vision and machine learning tools designed to analyze musical notation and suggest piano fingerings. You acknowledge that the Service is currently in an Alpha/Development Phase. This means the Service may contain bugs, experience downtime, or produce inaccurate results. We provide no guarantee of the Service's performance, uptime, or correctness during this phase.
4. Data Usage & AI Training License
READ CAREFULLY: DATA PRIVACY NOTICE
KeyGenius is a product-improvement-driven platform. To refine our artificial intelligence models, we require massive amounts of training data. By uploading sheet music, images, PDFs, or interacting with our suggested fingerings, you acknowledge and agree that:
- YOUR DATA MAY NOT BE PRIVATE: Any content you upload or generate may be used for AI training purposes. Our development team, automated systems, and third-party contractors may access and view your content to evaluate model performance and quality.
- PERPETUAL LICENSE: You grant KeyGenius a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully sub-licensable license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly perform, publicly display, and distribute your content for the purpose of operating, developing, providing, and improving the Service and our AI models.
- WAIVER OF CONFIDENTIALITY: You waive any expectation of privacy or confidentiality regarding the specific musical content you upload to the Service during this Alpha phase.
5. Information Collection and Commercial Use
By using the Service, you grant us express permission to collect, process, and utilize various forms of data for both service improvement and commercial exploitation. This includes, but is not limited to:
A. Cookies and Digital Tracking
We utilize a variety of first-party and third-party cookies, web beacons, and persistent identifiers to monitor user behavior, session length, and conversion rates. This data is used for behavioral analytics and to provide a "sticky" experience across multiple browsing sessions. You acknowledge that disabling cookies may result in the total failure of the Service's authentication and state management systems.
B. Personally Identifiable Information (PII)
We collect PII including your legal name, billing address, email address, and account details. We reserve the right to cross-reference this data with third-party databases to build a comprehensive user profile for the purpose of improving service accuracy and personalization.
C. Usage & Technical Metadata
Our systems automatically log your IP address, device hardware specifications, OS version, and network latency. This data is essential for our diagnostic processes and is also used to enforce geographical performance optimizations.
D. Marketing, Retargeting, and Third Parties
Marketing Rights: You agree that we may use your contact information to send you targeted advertisements, newsletters, and promotional offers. Furthermore, you grant us the right to share your anonymized usage patterns and de-identified technical data with marketing partners for the purpose of programmatic advertising and digital retargeting across the wider internet.
7. Non-Distribution and Resale Restrictions
STRICT PROHIBITION ON COMMERCIAL REDISTRIBUTION
You are granted a license for personal, non-commercial use only. You are strictly prohibited from:
- RESALE & SUB-LICENSING: You may not sell, lease, rent, redistribute, or sub-license the KeyGenius Service, any part of its source code, or its underlying AI models to any third party.
- WHITE-LABELING: You may not strip our branding or present the Service, its outputs, or its specialized "KeyGenius Neural Fingering Engine" technology as your own creation.
- BULK DISTRIBUTION: You may not distribute the compiled software binaries on your own website, file-sharing platforms, or physical media without express written consent from KeyGenius.
- REVERSE ENGINEERING: Any attempt to extract our proprietary AI parameters or "clone" the Service's logic for your own platform will result in immediate legal action.
8. Acceptable Use Policy
Our Content: The Service's interface, text, graphics, logos, software, code, and the specific "KeyGenius Neural Fingering Engine" outputs are the exclusive property of KeyGenius and its licensors. You are granted a limited, personal, non-transferable license to use the Service strictly for individual piano practice purposes.
Your Content: You retain ownership of the original musical rights to any sheet music you have the legal right to possess. However, the fingering data generated by our AI and the processed version of that music within our system fall under the license granted in Section 4.
9. Disclaimer of Warranties
You agree not to use the Service in any way that violates any applicable local, state, national, or international law. Specifically, you agree NOT to:
- Upload music you do not have the legal right to possess or process.
- Attempt to reverse engineer, decompile, or "scrape" our AI models or underlying software.
- Use our Service to build a competing AI sheet music product.
- Provide false information to bypass our safety or rate-limiting systems.
- Distribute or publish the raw underlying data of the Service.
10. Massive Limitation of Liability
The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, KEYGENIUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND FREEDOM FROM ERROR. WE DO NOT WARRANT THAT THE FINGERINGS PROVIDED ARE MUSICALLY CORRECT, SAFE TO PLAY (WITHOUT RISK OF STRAIN), OR OPTIMAL FOR YOUR SPECIFIC HAND ANATOMY.
11. Indemnification
IN NO EVENT SHALL KEYGENIUS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; AND (V) ANY REPETITIVE STRAIN INJURY, CARPAL TUNNEL SYNDROME, OR OTHER MUSCULAR/ANATOMICAL HARM RESULTING FROM FOLLOWING THE AI-SUGGESTED FINGERINGS.
12. Dispute Resolution: Non-Arbitration Clause
You agree to defend, indemnify and hold harmless KeyGenius and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content uploaded to the Service.
13. Termination
A. EXCLUSIVE FORUM SELECTION
You and KeyGenius agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of competent jurisdiction located in [Your Country/State].
B. WAIVER OF ARBITRATION
UNLIKE MANY TECHNOLOGY PLATFORMS, KEYGENIUS DOES NOT REQUIRE MANDATORY ARBITRATION. YOU AND WE BOTH AGREE TO WAIVE ANY RIGHT TO RESOLVE DISPUTES THROUGH ARBITRATION AND INSTEAD AGREE TO RESOLVE ALL DISPUTES IN A COURT OF LAW.
C. JURY TRIAL WAIVER
BOTH YOU AND KEYGENIUS VOLUNTARILY AND IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
D. CLASS ACTION WAIVER
YOU AGREE THAT ANY PROCEEDING AGAINST KEYGENIUS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14. Changes to Terms
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
15. Severability & Waiver
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
14. Severability & Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
